Sec. 732.

The effect of a merger or consolidation authorized by section 731 is the same as in the case of a merger or consolidation of domestic corporations, if the surviving or new corporation is to be governed by the laws of this state. If the surviving or new corporation is to be governed by the laws of a jurisdiction other than this state, the effect of the merger or consolidation is the same as in the case of the merger or consolidation in such jurisdiction, except as otherwise herein provided.
